Terms and Conditions

This agreement creates legally binding obligations for you. If you disagree with any terms of this agreement, we kindly ask you not to access the platforms, use the services offered via the platforms, or register an account for such services.

1 Scope and Definitions

1.1 These General Terms and Conditions constitute the agreement ("Agreement") between you ("User") and Innoventus MB regarding your use of the Charge24/7 power bank sharing service ("Service") in Lithuania and apply to the website www.charge247.lt ("Website") and the Charge24/7 mobile application ("Charge24/7 App"), available on Android, iOS, and Windows Mobile operating systems (jointly referred to as the "Platform").

1.2 Your use of our service is governed by this Agreement, our Privacy Policy ("Privacy Policy"), and the Battery Usage Guidelines ("Usage Guidelines") available on the platform. By using our services, you agree to comply with our Usage Guidelines and Privacy Policy, which are also part of this Agreement.

1.3 We reserve the right to amend the terms of this Agreement at any time. Changes become effective once the updated Agreement is published on the platform. Each time you use the platform or our services, the latest version of this Agreement applies. By using the platform or service after changes to the Agreement, you agree to be bound by the updated terms.

1.4 This Agreement contains important information about your rights regarding the platform and our services. Please read this Agreement carefully and review it regularly.

2 Use and Registration

You guarantee that:

(a) You are 16 years or older and have the mental and legal capacity to agree to this Agreement and use our services.
(b) All information provided by you during the use of the services is complete, correct, and current.
(c) Your use of the service does not violate applicable laws or official regulations.

3 User Registration

3.1 To become a registered user of our platform, you must verify or authenticate yourself on the platform using a phone number. You also confirm that all user information provided is accurate and complete. Any changes must be reported immediately.

3.2 The user account ("Account") you create during registration is personal to you. It must not be transferred or used by others. Only persons or companies expressly authorized by us to create accounts on behalf of employers or clients are exempt.

3.3 After successfully completing the user registration process and complying with the terms of this Agreement, you can use our service via the platform.

3.4 We reserve the right to deny, limit, or revoke your access to your account, the platform, and our service at any time at our sole discretion. In case of suspension, you may file a user complaint as outlined in this Agreement.

4 Account Security

4.1 You are responsible for your login information and the security of your account. Therefore, ensure that you log out of the app at the end of each session. Additionally, we ask you to keep your account information confidential and to prevent loss and resulting misuse.

4.2 According to paragraph 13.1 of this agreement, you are responsible for all actions taken using your account. This includes the use of charged power banks, the return of charged power banks, the sharing of information, and the disclosure of information. This applies regardless of whether the actions have caused harm to us, yourself, or a third party.

4.3 If you suspect theft or loss of your account or unauthorized use, you must notify us immediately through the platform. Once the suspicion of unauthorized use is confirmed, we will temporarily suspend your account. This may take a reasonable amount of time, which you acknowledge.

4.4 Your account may only be used by you and must not be shared with others. You agree to:
(a) Keep your account details confidential at all times;
(b) Treat the login verification code for your account securely and confidentially;
(c) Not transfer your account to other individuals;
(d) Comply with all terms of this agreement as well as all applicable laws concerning your account.

4.5 You are responsible for all actions and transactions conducted using your account. This is no longer the case once you have reported misuse of your account or have closed your account.

4.6 We place great importance on the confidential handling of your personal data as well as the data of other users. Once you come into contact with personal information or documents of other users through the use of the platform or through communication with other users, that information must be treated as strictly confidential and must not be shared under any circumstances.

5 Use of Service

5.1 Using Charged Power Banks:
(a) By clicking on ‘SCAN QR CODE’ in the app, users can scan a station's QR code. This will automatically release the power bank.
(b) Before using a charged power bank, you must inspect it for damage and ensure that all cables are in good condition. This is the only way to guarantee the device's functionality.
(c) If there are any problems or malfunctions with the power bank, you must promptly notify Charge24/7 through the Charge24/7 app or the customer service email. You can contact us using the following details: info@charge247.lt.
(d) As stated in Paragraph 13.1 of this agreement, you are solely responsible for any damages or injuries to yourself or others, or to property, that result from using a Charge24/7 power bank in situations where you were informed that the power bank is damaged, or if there are apparent damages or defects.
(e) You agree to use the Charge24/7 power bank in a proper and considerate manner. You must not damage the power banks or prevent others from using them. Damaging, vandalizing, erasing or concealing the Charge24/7 power bank, removing its cables, or any other behavior that impairs the use of the power bank is prohibited.
(f) You must return the Charge24/7 power bank in the same condition it was borrowed. If the power bank is returned damaged or in significantly worse condition, a fee of 40 EUR will be charged.
(g) You may not rent out a Charge24/7 power bank to other individuals or use it for business purposes.
(h) After each use of a Charge24/7 power bank, you can end the rental period by returning the power bank to a station. This will automatically end the rental in the app. The fee calculation will stop, and the corresponding amount will be charged to your registered payment method.
(i) The data generated by the platform will serve as proof of your usage period of a charged power bank. The use of a Charge24/7 power bank is limited to a maximum period of 3 days (72 hours). Any usage beyond this period will be considered theft of the power bank. Accordingly, any power bank not returned within 3 days (72 hours) will be considered lost or purchased, and your account will automatically be charged a fee of up to 40 EUR. If a charged power bank is stolen during the rental period, you must report the theft by filing a police report with the local police. Additionally, you must report the incident to us via the platform within 24 hours.
(j) You must not engage in any of the following restricted activities:
(i) Modify, disassemble, label, or attach accessories to a charged power bank or any of its components. Generally, no Charge24/7 power bank may be altered, defaced, used for advertising, or repurposed for commercial activities.
(ii) Allow other users to use a borrowed battery.
(k) In connection with your use of a charged power bank and the platform, you guarantee the following:
(i) You acknowledge that Charge24/7 does not guarantee the availability of a charged power bank at the time and location you wish to use it.
(ii) You acknowledge that Charge24/7 does not guarantee that you will always be able to return the power bank after rental if nearby stations are full. In such cases, please contact our support via the app.
(iii) You accept that Charge24/7 power banks and their rental availability are intended solely for individuals capable of independently using a power bank and who have agreed to all terms of this agreement.

5.2 Charge24/7 User Guidelines:
(a) Charge24/7 is for your personal use only, unless otherwise agreed in writing with us. You must not allow others to use our services through your user account, and you must ensure that others do not have access to login information to your user account. If you become aware of any unauthorized use of your user account, you must notify us immediately so that the user account is blocked. You are fully responsible for all use of Charge24/7 through your User Account until your User Account is deactivated or blocked.
(b) When using a power bank, you must perform a basic check of the unit and the supplied cables to ensure that these are not visible damage and that the unit has sufficient battery capacity. This is done by shaking the device and checking the battery light indicator. You should also regularly check that the power bank is functioning properly and has sufficient battery capacity throughout the rental period, so that you can benefit from our service as much as possible.
(c) If you notice any errors or damage to the power bank or the cables, do not use it and you must notify us immediately through the App or by contacting our customer service: info@charge247.lt. The same applies if other problems arise when using our services.
(d) You must treat Charge24/7 equipment with care and as if it were your own. The equipment must be returned in the same condition as it was at collection. We reserve the right to claim compensation for damage beyond normal wear and tear according to the current price list

6 Liability Insurance

6.1 Charge24/7 has arranged liability insurance that covers you against third-party liability claims or accidental damage to third-party property that may arise from the use of a charged power bank. The liability insurance coverage is limited in scope and subject to various exclusions. The costs of liability insurance are already included in our fees. For further information, as well as in the event of damage or accidents caused by the use of a charged Charge24/7 power bank, please contact info@charge247.lt or reach out via our platform immediately.

7 Activation and end of rental period

7.1 The rental period starts by scanning the QR code at the charging station and accepting pricing in the App or browser to unlock the power bank. If you become aware of damage, lack of battery capacity or other problems, do not use the power bank and notify us as soon as possible, cf. section 5.2(c).

7.2 The rental period lasts from activation until the power bank is returned in accordance with this point. Return of the power bank is done by placing the power bank back in a free slot in the charging station and checking that the power bank is locked. You will then receive confirmation in the App, or browser that the rental has ended.

7.3.1 A Charge24/7 Subscription is active from the time you sign the subscription in the app. You can rent Charge24/7 power banks as many times as you like while the subscription is active. You can cancel the subscription at any time in the app, but minimum 48 hours before subscription end.

7.3.2 Lost Device Protection. For users with an active Charge24/7 Plus subscription, a reduced lost device replacement fee of 25 EUR applies in the event a power bank is not returned. Standard users are subject to the full replacement fee of 40 EUR. This benefit is valid only during an active subscription period and is limited to one claim per billing cycle. Repeated losses, abuse of the service, or suspected misuse may result in suspension or termination of the Lost Device Protection benefit or the Plus subscription.

8 Damages and lack of return

8.1 If the power bank is lost, damaged or for any other reason it is not possible to return the power bank in accordance with clauses 5.2(d) and 7.2 before the expiry of the maximum rental period, your debit card will be charged according to the current price list for the rental period and the replacement of the power bank.

9 Prices and Invoice fees

9.1 See current price list in the Charge24/7 app, or browser.

9.2 Charge24/7 Subscriptions are automatically renewed every month until cancelled by the user in the app.

9.3 If you wish to keep the power bank after use, you may not return the power bank as required by point 5.1(h). In that case, you will be charged for the power bank according to the current price list at the end of the maximum rental period. See the price list for more information. Price per 30 min. during the rental period counts as well.

9.4 Once the maximum rental time is reached, we consider the power bank lost and a fee of 40 EUR will apply. The power bank becomes the customer’s property.

9.5 If there is no cover on the debit/credit card registered in the App, and/or the user does not pay for any outstanding rental amount, we reserve the right to suspend further use of our services until payment has been made. In such cases, we may also have to claim missing payment(s) through invoice. In that case, an invoice and administration fee of 15 EUR will be charged.

9.6 Promo codes can be applied under their specific terms and conditions.

9.7 For your convenience, we offer various payment options available in your region:
(a) You can link your credit or debit card, PayPal or Stripe account to your Charge24/7 app account. This allows all due amounts to be automatically charged to your linked payment method after use. Prepaid and money cards cannot be used as payment methods.
(b) Please note that you cannot withdraw deposited funds or wallet balances from your account. Refunds of deposited amounts and withdrawals of wallet balances are not allowed.
(c) Under no circumstances can you withdraw money from your account. Deposited amounts and wallet balances are non-refundable and cannot be withdrawn.

9.8 If you wish to dispute a charge made to your credit or debit card or account, please contact us immediately at info@charge247.lt.

10 Marketing and Promo codes

10.1 We will sometimes send you information about Charge24/7, such as tips on using the service, news, statistics and other relevant information.

10.2 If you have received discount codes from us, these can be used in accordance with the rules stated in connection with the issue of the discount codes

10.3 Sometimes we will offer promotional campaigns where you will receive discount codes for you and the persons you recruit. Referral functionality should only be used for this purpose and in accordance with any specified guidelines. We reserve the right to cancel discount codes for abuse of this scheme.

10.4 When you refer a friend to Charge24/7, both you and your friend will receive 30 minutes of free charging time. To activate and use this free time, the referred user must first add a valid payment method and complete at least one paid rental. Charge24/7 reserves the right to change the terms and conditions of the Refer a Friend promotion at any time.

11 Complaints

11.1 If you have a complaint or dispute regarding our service or platform, you can inform us at any time directly through the platform or by sending an email to our customer service at info@charge247.lt.

12 Violations

12.1 You acknowledge and agree that to protect the rights and interests of other platform users and those of Charge24/7, we may take the following actions at our sole discretion and without prior notice if we determine that you have violated one or more terms of this agreement:
(a) In the event of a violation that results in losses, damages, costs, or devaluation for us, we will deduct an equivalent amount from your account to compensate for the incurred loss as well as any potential administrative fees.
(b) We reserve the right to suspend your account or permanently exclude you from using the platform.

12.2 Once any of the aforementioned actions have been implemented, we will send you a notification via SMS or email. If you have questions about how we handled your violation, you can contact our customer service at info@charge247.lt at any time.

13 Limitations of Liability

13.1 Nothing in this agreement limits or excludes Charge24/7's liability for:
(a) Death or personal injury caused by negligence or due to a defect in a Charge24/7 power bank that was not apparent at the time of rental.
(b) Fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.

13.2 Subject to Paragraph 13.1, you acknowledge and agree that our liability to you, whether arising from contract, tort, breach of statutory duty, or otherwise, in connection with this agreement is limited to the maximum coverage provided by a public liability insurance policy.

13.3 In consideration of your use of a Charge24/7 power bank, you (on behalf of yourself and your entire family, heirs, representatives, agents, affiliates, successors, and assigns) fully and permanently release Charge24/7 from all claims, injuries, demands, liabilities, disputes, causes of action, proceedings, obligations, debts, liens, costs, expenses (including attorney fees), fines, penalties, and contracts, as well as any damages or known and unknown losses arising from:
(a) Any services mentioned herein or in connection with the platform or the use of a charged power bank.
(b) Your use of or claims against Charge24/7 arising out of or relating to your use of the platform or a charged power bank.
This release is intended as a general and complete waiver of all claims arising from or connected to your use of the platform or a charged power bank.

13.4 Without limiting the general releases mentioned above, you understand and agree that, unless restricted by applicable law, Charge24/7 is not responsible or liable for claims arising from:
(a) The risks or dangers described in this agreement.
(b) Your inability to use the service, charged batteries, or platform.
(c) Your violation of this agreement or applicable laws.
(d) Your negligence, misconduct, or that of a third party.
You hereby waive all claims related to the above, including those based on contract, tort, or other grounds, even if Charge24/7 was informed of the possibility of such claims, to the fullest extent permitted by law.

13.5 You expressly acknowledge and agree that your use of the service, Charge24/7 power bank, and platform is at your sole risk. Charge24/7 disclaims, to the maximum extent permitted by law, all express and implied warranties, including warranties of merchantability and fitness for a particular purpose. The service, charged power banks, and platform are provided "as available." Charge24/7 does not guarantee that the power banks or platform will be in good condition or free from errors. You acknowledge and accept that delays, interruptions, or inaccuracies in the service and platform may occur. Furthermore, you assume full responsibility and risk of loss associated with your use of the service, charged power banks, and platform. Charge24/7 is not liable for claims arising from the above. You take full responsibility and liability for all consequences and claims of any kind in connection with stolen or lost Charge24/7 power banks while in your possession.

14 Ownership and Intellectual Property

14.1 Your agreement to these terms and registration as a user entitles you to use our services solely in accordance with the conditions listed herein. No other permissions, partnerships, or collaborations between you and us are implied.

14.2 You acknowledge that all intellectual property rights in and to the platform—including copyrights, trademarks, company names, logos, source and object codes, and confidential information—are owned by us or our licensors and will remain so. Nothing in this agreement transfers any intellectual property rights to you. You agree not to use, modify, rent, sell, transfer, or otherwise infringe upon intellectual property rights without the express written permission of the rights owner.

14.3 The name and logos of Charge24/7 are our trademarks and trade names. You may not reproduce, imitate, or use them in whole or in part without our prior written consent. Additionally, you agree that all pages, texts, graphics, images, button icons, and scripts on the platform are our property and may not be reproduced, copied, or used without prior written permission.

14.4 We grant you a limited, royalty-free, non-exclusive, revocable, and non-transferable license to download and use the Charge24/7 app for personal, non-commercial purposes, provided you comply with the terms of this agreement. You may only use the app and service as outlined in this contract.

14.5 You are solely responsible for all content, texts, and images (“User Content”) you upload, publish, or share on the platform. You may not upload, publish, or share User Content you did not create or for which you lack publishing rights. You guarantee that you either own all your User Content or have the legal rights to it. Additionally, you agree only to provide User Content that complies with applicable laws and does not infringe on third-party rights. Otherwise, you are solely liable for any related liabilities.

We reserve the right to review the platform at any time and, at our sole discretion and without prior notice, delete or restrict access to User Content. Once you upload, publish, transmit, or share User Content on the platform, you automatically authorize us to make copies of it as we deem necessary. By doing so, you grant us an irrevocable, perpetual, transferable, royalty-free, worldwide license to use, copy, publicly display, sublicense, reformat, translate, excerpt, modify, create derivative works from, or incorporate User Content into other works for any purpose, including commercial use.

14.6 You agree that we may access, store, and use the information you provide as long as we comply with the Privacy Policy and your privacy settings. You grant us and our affiliates a royalty-free license to use such information for storage, use, reproduction, editing, publication, translation, distribution, or incorporation into other works using current or future media. This global, transferable, and sublicensable license does not require your consent or notification as long as the following conditions are met:
(a) You can terminate this license by closing your account or deleting certain content you provided. It may take time for such content to be removed from backup systems.
(b) Your content will not be used to advertise products or services without your consent.
(c) We will obtain your consent before granting third parties the right to use your content outside the platform.
(d) We reserve the right to edit and adapt your content but will not change its meaning.
(e) Suggestions and feedback you provide about our services may be used and shared by us for any purpose without compensation or remuneration to you.

15 Indemnification

15.1 You expressly agree to indemnify and hold Charge24/7, as well as all employees and shareholders, harmless from any death, injury, or damage to yourself, other persons, or property arising from or in connection with the use of a Charge24/7 power bank or the platform.

15.2 You agree to release and indemnify Charge24/7 and any associated parties providing the service in conjunction with us from all liabilities, claims, losses, damages, costs, debts, fines, penalties, and fees, including consequential damages. This includes, but is not limited to, lost profits or other losses resulting from:
(i) your misuse or inability to use the platform;
(ii) your misuse of information on the platform;
(iii) unauthorized access to or alteration of your data associated with the platform;
(iv) prohibited, malicious actions or inactions on your part.

15.3 If your actions result in third-party claims that we are required to pay, we reserve the right to recover such losses from you, including retroactively.

16 Termination of the Agreement

16.1 Termination by the User
You may terminate this agreement as follows:
(a) By notifying us at any time through the platform that you wish to stop using the service and the platform;
(b) By ceasing to use the service and the platform for a consecutive period of at least 365 days;
(c) By discontinuing the use of the service and the platform and explicitly rejecting any changes to this agreement before such changes take effect.

16.2 Termination by Rechargy
We may terminate this agreement as follows:
(a) If you fail to comply with any of the terms of this agreement;
(b) If you fail to pay amounts due under this agreement within 5 days of their due date;
(c) If you cease to use the service and the platform for a consecutive period of at least 365 days;
(d) If, in our opinion, your use of the service or the platform may harm the service, the platform, or other users;
(e) If you explicitly reject any changes to this agreement.

16.3 Provisions Following Termination
(a) Even after termination of this agreement, we retain the right to assert claims against you under this agreement for any prior breaches or outstanding financial obligations on your part.

16.4 If we can not charge you for the renewal of your Charge24/7 Subscription within five days of the end of the subscription period your subscription will be automatically terminated. If you have an active rental at the time of the cancellation, you will be charged a 40 EUR - lost fee for the power bank.

16.5 There is a fourteen-day withdrawal period when you sign up for a Charge24/7 Subscription. If during that period you did rent at least once our power banks - you will be charged accordingly. If you would like to use the right to withdraw from the subscription you must contact us at info@charge247.lt.

16.6 Charge24/7 has no signup fees, or binding time when you sign up for a subscription. You may terminate your Charge24/7 Subscription agreement at any time in the app, or by contacting us at info@charge247.lt, but minimum 48 hours before the subscription ends. If you cancel the subscription within two days of the end of the subscription period you will be automatically charged for another period.

16.7 Following termination, Charge24/7 retains the right to claim outstanding amounts or damages from you. You can also contact us in regards to other matters, or issues in the app, or by contacting us at info@charge247.lt

17 Agreements and Prohibitions

17.1 Agreement
Ensure your behavior while accessing or using the service complies with the following requirements:
(a) Adherence to all applicable laws, including tort law, data protection laws, intellectual property laws, tax regulations, and government requirements.
(b) Providing accurate and complete information and promptly updating it when changes occur.
(c) Using your real name, correct identity, and all truthful personal information.
(d) Using the service in a polite and lawful manner.

17.2 Prohibitions
You agree not to use the platform for illegal activities or engage in the following prohibited actions:
(a) Using the platform if you lack legal capacity or have been excluded from the service.
(b) Transferring your account to a third party without our consent.
(c) Violating the legal rights of others via the platform, including collecting login or personal information, using or attempting to use an account that is not yours, harassing, insulting, threatening, or coercing others, sending junk emails, or infringing on intellectual property rights.
(d) Disrupting or sabotaging the platform, its servers, or network, or engaging in activities causing system overload, damage, or malfunction (e.g., spreading viruses, spyware, or malware).
(e) Intentionally intercepting, manipulating, stealing, recording, collecting, storing, distributing, or deleting information you are not authorized to access, especially personal or confidential information.
(f) Violating or circumventing laws or our policies.
(g) Bypassing our technical security measures.
(h) Infringing on our intellectual property or other rights, such as using our commercial logos or deleting copyright or trademark notices in our services.
(i) Claiming a partnership or agency relationship with the platform without our explicit consent.
(j) Renting, leasing, trading, selling, or reselling our services or related data without our approval.
(k) Deleting or hiding advertisements in our services.
(l) Using automated programs to access our services, download address books, or forward messages.
(m) Duplicating, modifying, or creating derivatives of the platform or engaging in activities that imitate its appearance or functionality.
(n) Accessing our services through unauthorized websites.
(o) Overwriting security features of the platform or services.
(p) Aiding or encouraging others to violate this agreement or our policies.
(q) Using the platform or power banks for illegal, offensive, or antisocial purposes.
(r) Engaging in any unlawful behavior that could harm the service or platform.

17.3 Disclaimer
While we set conduct standards for our users, we do not control user behavior on the platform. Therefore, we are not responsible for content shared by users. If you believe another user violates our policies or this agreement, please contact us immediately. We strive to maintain a safe environment but disclaim liability for user behavior and content. Consequently, you are solely responsible for the consequences, liabilities, and risks associated with engaging in prohibited actions or publishing prohibited information without our authorization.

18 Electronic Signatures and Notifications

18.1 Certain activities on the platform may require the creation of an electronic signature. You understand and agree that an electronic signature holds the same legal rights and obligations as a physical signature.

18.2 By creating an account with us, you agree to receive all necessary notifications electronically, including via your account, push notifications, email, or popup messages.

19 Governing Law

19.1 This agreement and any disputes arising in connection with it are governed by the laws of the Republic of Lithuania and interpreted accordingly. You and we agree to submit exclusively to the Lithuanian courts for any disputes permitted under this agreement.

20 Force Majeure

20.1 While we undertake all necessary safety obligations in accordance with the law, we are not liable for damages resulting from:
(a) Maintenance of information network equipment;
(b) Connection failures or malfunctions of computer or communication systems;
(c) Power outages;
(d) Strikes, fires, floods, storms, or explosions;
(e) Wars, government actions, or changes in laws, regulations, administrative rules, or court orders;
(f) Acts of third parties or other unforeseen events.

21 Data Protection and Confidentiality

21.1 The user is informed that Charge24/7 collects, processes, and uses personal data in machine-readable form for the purpose of fulfilling the contractual relationship. All personal data will be treated confidentially.

21.2 The parties agree to treat as confidential any information concerning the other party that becomes known during the course of contract execution.

21.3 By using our power bank stations at events and gatherings, you consent to the sharing of certain usage data with the respective event organizers in accordance with applicable data protection regulations. Further details can be found in our Privacy Policy.

22 Consumer Rights and Mandatory Information

22.1 Charge24/7 grants users who are consumers a right of withdrawal in accordance with the following withdrawal policy.

A consumer is any natural person who concludes a legal transaction for purposes that can neither be attributed to their commercial nor self-employed professional activity (§ 16).

22.2 The right of withdrawal does not apply if the user has expressly agreed that they lose their right of withdrawal as soon as the contract execution begins with their consent.

22.3 As an online business, we are obliged to inform you as a consumer about the platform for online dispute resolution (OS platform) of the European Commission. This OS platform can be accessed through the following link: https://webgate.ec.europa.eu/odr. However, we do not participate in a dispute resolution procedure before a consumer arbitration board.

23 General Provisions

23.1 You can view these terms and conditions on www.charge247.lt. Additionally, you can print or save this document using the standard function of your internet browser (usually under "File" -> "Save As").

23.2 The place of performance is Lithuania. Any disputes with merchants, public corporations, or public funds that are not resolved amicably will be settled by Lithuanian courts.

23.3 For all disputes related to the use of the platform, the law of the Republic of Lithuania shall apply exclusively, regardless of the legal grounds, with the exclusion of all provisions of conflict of law that refer to another legal system. The application of the U.N. Sales Convention is excluded.
